Terms of Sale

NEOLINK INDUSTRIES INC. · Effective 2026-11-01

These terms govern the sale of goods by NEOLINK INDUSTRIES INC. (“NEOLINK Industry”, “we”, “us”), a California corporation, to purchasers (“Buyer”, “you”). By placing an order you accept these terms.

1. Nature of website information

Product specifications, prices, stock levels and other information displayed on this website are indicative only and do not constitute an offer. They are provided for reference to support your enquiry. A binding contract arises only when we issue a written order confirmation specifying the agreed terms.

Final product specifications are confirmed by the Certificate of Analysis (COA) issued for each batch. In the event of any discrepancy between website information and the confirmed COA, the COA prevails.

2. Regulatory and certification status

NEOLINK INDUSTRIES INC. currently does not hold any third-party management system certification (including but not limited to FSSC 22000, ISO 22000, HACCP, BRC or IFS). We can provide audit reports against customer-specific standards on request.

Product attributes such as Non-GMO, Kosher and Halal are supplier-declared. We relay these declarations as received from our supply-chain partners; we have not independently verified them through third-party certification. If your market requires certified product, request documentation before placing an order so we can confirm availability.

Regulatory status: Not yet verified — request documentation for your market.

3. Orders

Quotations. Quotations are valid for the period stated in the quotation or, if no period is stated, 30 days from issue. Prices are subject to change after expiry without notice, reflecting raw-material and freight conditions at the time of order.

Order placement. Buyer submits a purchase order (by email or through this site). The order is not binding until we confirm it in writing (order confirmation email or signed contract).

Cancellation. Once an order is confirmed, the Buyer may not cancel or modify it without our written consent.

Buyer’s standard terms. Any terms issued by the Buyer that conflict with these terms are not accepted unless we agree in writing. In the event of conflict, the terms of the confirmed order prevail.

Samples and documentation. Free samples (100 g – 1 kg) are available on request to verify suitability before placing a bulk order. Technical documentation (TDS, COA, SDS) is issued with each shipment. Certificate types such as Halal or Kosher are issued on request based on supplier declarations.

4. Pricing and payment

Prices are quoted in US dollars unless otherwise stated. Prices are exclusive of import duties, taxes and freight charges unless explicitly included in the quotation.

Payment terms are as agreed per order. For new customers or large-volume orders, we may require advance payment or a deposit.

5. Delivery and risk

Goods are shipped from our warehouse in Irvine, CA, USA or Greater Vancouver, BC, Canada, depending on availability and the delivery point agreed. Delivery dates quoted are estimates only; we will not be liable for delay unless a delivery date has been expressly agreed as binding in writing.

Shipping terms (Incoterms 2020) are as stated in the order confirmation. If no Incoterm is specified, the default is EXW (Ex Works) at the shipping warehouse. Risk passes to the Buyer in accordance with the applicable Incoterm.

6. Product suitability

The Buyer is responsible for determining the suitability of our products for their intended application and for complying with all applicable local regulations in the country of use. We provide technical information to assist evaluation, but we do not assume liability for the Buyer’s formulation decisions or regulatory compliance in their jurisdiction.

7. Limitation of liability

Our total liability arising out of or in connection with any order shall not exceed the value of the affected order.

This limitation does not apply to liability arising from fraud, intentional misconduct, gross negligence, death or personal injury, or any liability that cannot be excluded or limited under applicable law.

Except as expressly stated, we are not liable for any indirect, incidental, consequential or special losses, including loss of profit, loss of production, or business interruption, however arising.

8. Insurance and compliance

We do not publish our insurance position on this website. Buyers who require evidence of insurance coverage, certificates of insurance, or supplier-qualification documentation should contact us before placing an order and we will respond with the actual position.

We do not currently hold third-party food safety management system certifications (FSSC 22000, ISO 22000, HACCP, BRC, IFS). Buyers who require supplier certification as a condition of purchase should verify availability before ordering.

9. General provisions

Amendments. These terms may be amended only in writing signed by both parties.

Governing law. These terms are governed by the laws of the State of California, USA.

Dispute resolution. In the event of a dispute, both parties agree to attempt good-faith negotiation before resorting to the courts of competent jurisdiction in California.
